The ACA: HOSPITAL MERGERS/SERVICES/COSTS
From the New York Times on September 30, 2013:
How the 'wave' of hospital mergers will affect the market.... Patients may get the short end of the stick....
"Whatever the reason, the mergers may not end up benefiting patients when it comes to getting the bill, according to a Robert Wood Johnson Foundation report published last year.
"Hospital consolidation generally results in higher prices," lead author Martin Gaynor in the report, adding that ultimately, "increases in health care costs (which are generally paid directly by insurers or self-insured employers) are passed on to health care consumers in the form of higher premiums, lower benefits, and lower wages."
Antitrust consultant Cantor says that in response, the Federal Trade Commission (FTC) has increased its scrutiny of hospital price fixing and monopolies as mergers become more plentiful, adding that a transaction of $71 million or more automatically triggers an FTC review."
"Hospitals are facing a very tough environment. Those who say they should not be able to merge at all don't understand health care," Cantor says, adding that if a hospital system "becomes the only game in town, they could raise prices."
Robert Garrett, president and CEO for Hackensack University Health Network, said the health system joined LHP Hospital Group of Texas to buy Mountainside Hospital last year to provide more services to patients.
"We just opened up a wound care center in the past year-we also created additional orthopedic services. The funding for those was certainly helped by the joint venture with LHP," Garrett said. Hackensack and LHP also were able to reopen Pascack Valley Hospital in Westwood six years after the financially struggling facility was forced to close." ....

"Nonprofit hospitals have always been required to meet certain parameters to maintain their tax-exempt status, however, the decrease in the number of uninsured will make it more difficult for tax-exempt hospitals to meet the required thresholds for treating the uninsured, driving more hospitals into the for-profit category and presumably yielding more taxable money for the federal government. The new care delivery and payment models under the ACA are increasing the pressure on nonprofits to find efficiencies. Nonprofit hospitals in their attempts to maintain profitability can be compared to major league baseball players looking to secure their financial future and align with wealthy team owners as they approach the trading deadline. Even the most stable facilities increasingly face an uphill battle to survive, let alone thrive, as independent entities in an industry in rapid transition. Under the changing landscape, nonprofits may seek mergers to enhance their financial viability and access to essential capital. The rules governing the acquisition of a nonprofit hospital by a for-profit entity have become more important commercially. Because many nonprofits are financially distressed, and buyers want to avoid successor liability if possible, they must position themselves for adjustment. The last wave of merger activity occurred during the managed health care boom during the 1990s. After holding steady through much of the 2000s, the overhaul of health care financing advanced under the ACA has served as a catalyst for consolidation with merger activity doubling in the last two years. If the exchanges increase hospital revenues by positioning more consumers with the ability to pay for health care services, nonprofits may become even more attractive targets for merger or acquisition. Twenty-seven mergers were reported in the third quarter with two-thirds of those acquisitions made by hospital networks which consisted, on average, of seven hospitals. Some health care experts predict that 1,000 hospitals could seek out mergers in the next five to seven years, resulting in large health care networks that extend coast-to-coast. Greater attention will be focused on transactions with nonprofit entities. Federal regulators are concerned that the growing number of mergers could lead to anti-competitive practices and have responded by vigorously policing transactions. The Federal Trade Commission has increased its examination of the deals and has blocked a handful of transactions deemed anti-competitive. Although the motivations for merger are significantly broader under the ACA than those historically witnessed within the industry, stand alone entities fiercely holding onto their independence are finding it more difficult to compete against bigger, leaner organizations, who are responding to the law's call for better coordinated high-quality care. The ACA is ultimately "a rhetoric about efficiency," ......
